SonaMart is a platform (marketplace) provider that connects buyers with partner shops/sellers. Sale and purchase transactions occur directly between the buyer and the seller, so SonaMart is not responsible for the quality, authenticity, or conformity of the products traded.
Nevertheless, if an issue arises between a buyer and a seller, SonaMart may act as a mediator to help facilitate an amicable resolution — see Section 11.

1 General Provisions and Definitions
SonaMart ("We", "the Platform") is a technology-based marketplace service operated by PT Wibi Digital Technology. SonaMart provides electronic facilities — including but not limited to shop storefronts, product catalogues, shopping carts, checkout, and an AI-based chat feature (Sona AI) — to enable partner sellers/shops to market their products and buyers to find and purchase those products.
SonaMart acts solely as a facility provider (platform provider) and is not a party that sells, owns, stores, or ships the products listed on the Platform, unless expressly stated otherwise for specific products sold directly by SonaMart.
The following terms have the meanings set out below, unless the context requires otherwise:
- Account: the collection of information about you registered with SonaMart, whether as a Buyer or a Seller.
- Buyer: a User who uses the Platform to search for and/or purchase Products.
- Seller/Partner Shop: a User who uses the Platform to market and sell their own Products.
- Product: goods and/or services offered by a Seller through the Platform.
- Order: a request to purchase a Product made by a Buyer through the Platform.
- SonaMart Partner: a third party that cooperates with SonaMart to support the provision of the Platform, including but not limited to payment gateway providers, courier services, and third-party AI model providers.
- Business Day: a day other than Saturday, Sunday, and official national holidays in Indonesia.
- Applicable Laws and Regulations: any regulatory product of the Government of Indonesia at any level, as well as written and unwritten policies of relevant agencies.
These Terms and Conditions form an integral part of the SonaMart Privacy Policy. By accessing or using SonaMart — whether as a Buyer or a Seller — you are deemed to have read, understood, and agreed to the entire content of these Terms and Conditions.
2 Registration and User Accounts
- You must be at least 17 (seventeen) years old and legally competent to create an Account with SonaMart. If you are not legally competent, all your actions will be the responsibility of your parent, guardian, and/or legal custodian.
- You must provide registration data that is true, complete, and current, including but not limited to your name, email, phone number, and address. As a Seller, you must also provide valid shop details and a valid bank account/payout account.
- You are fully responsible for the confidentiality of your Account credentials and all activity carried out through your Account. Promptly contact Us via the details in Section 23 if you suspect unauthorised access to your Account.
- SonaMart reserves the right to reject a registration or suspend/close an Account indicated to have provided false data, committed fraud, engaged in misuse, or violated these Terms, as further set out in Section 16.
3 The Sale and Purchase Relationship Between Buyer & Seller
Every transaction on SonaMart constitutes a direct sale and purchase agreement between the Buyer and the Seller. SonaMart is not a party to that agreement and does not independently verify the accuracy of a Product's description, price, stock, legality, or quality as uploaded by the Seller.
All matters relating to a Product's authenticity, conformity with its description, product warranty, and compliance with Applicable Laws and Regulations are the sole responsibility of the relevant Seller.
4 Seller Obligations
As a Seller, you must, including but not limited to:
- upload Product information (name, photos, price, stock, description) that is true and not misleading;
- keep stock status accurate to prevent Orders for unavailable Products;
- process and ship Orders within a reasonable time consistent with the information you have listed;
- respond to Buyer questions and complaints in good faith through the shop's chat channel; and
- ensure the Products you sell do not violate Applicable Laws and Regulations or any third party's rights (including intellectual property rights).
5 Buyer Obligations
As a Buyer, you must, including but not limited to:
- provide an accurate shipping address and contact details so your Order can be processed correctly;
- make payment in accordance with the method and timeframe applicable to your Order;
- inspect the Product received and submit a complaint through official channels within a reasonable time if there is any discrepancy; and
- not misuse the return/refund feature for unlawful purposes or to unreasonably disadvantage a Seller.
6 Prices, Promotions, and Vouchers
Product prices are set by each Seller and may change at any time. Vouchers and promotions issued by SonaMart are subject to the terms of use stated on each voucher, including but not limited to the validity period, minimum spend, and usage quota.
7 Payment
Payment may be made through the methods available on the Platform, including but not limited to manual bank transfer, virtual account, e-wallet, and/or a licensed third-party payment gateway, as described on the Payment Methods page. Verification of manual transfers is carried out by the relevant shop's admin.
SonaMart does not store your payment card data; electronic payment processing is handled by a licensed payment gateway provider that partners with Us. Certain payment methods may incur an admin/service fee, which will be shown transparently on the checkout page before you complete your Order.
8 Seller Fund Disbursement
Funds paid by a Buyer for a sale are temporarily held by the SonaMart system until the Order status is recorded as "Completed." Once that status is reached, the funds become part of the balance available for the Seller to withdraw.
The net amount received by the Seller is calculated after deducting several fee components. These components are fees charged by the payment gateway provider (Xendit), which SonaMart passes through without earning any margin on them, including but not limited to:
- a shipping handling fee of 0.5% of the shipping cost (passed through from Xendit);
- a payment processing fee of 0.7% of the Order value (passed through from Xendit);
- a fixed processing fee of Rp4,000 per transaction (passed through from Xendit); and
- Value Added Tax (VAT) of 11% applied to that fixed processing fee (VAT on Xendit's service, passed through in accordance with applicable tax regulations).
SonaMart may introduce its own separate platform administration fee in the future; the amount and terms of any such fee will be communicated to Sellers through the Platform before it takes effect.
Because most of the components above are set by Xendit as the payment gateway provider, their value may change from time to time in accordance with Xendit's pricing policy, beyond SonaMart's control. Any change will be reflected in the fee breakdown (order fee) available to the Seller on the Account dashboard. Withdrawal of a Seller's balance is carried out through the mechanism available on the Platform, and may be subject to additional verification by Xendit before funds are forwarded to the Seller's account.
9 Shipping
Shipping of Products is carried out by the Seller through partner courier services as described on the Shipping Information page. Estimated delivery times, parcel handling, and risks during shipping are outside SonaMart's direct control, as they are carried out by the Seller and the courier service.
10 Cancellation, Returns, and Refunds
Cancellation, return, and refund policies follow each shop's own terms, provided they do not conflict with applicable consumer protection regulations. A Buyer may lodge a complaint directly with the Seller through the shop's chat, or via the My Orders menu.
If the Seller does not respond or no agreement is reached, the Buyer may escalate the matter to SonaMart as described in Section 11.
SonaMart's Role as Mediator
SonaMart is not liable for losses arising from transactions between a Buyer and a Seller. However, as part of Our commitment to a comfortable transaction experience, SonaMart is willing to act as a mediator where an issue arises between a Buyer and a Seller, for example where goods do not match their description, goods are not received, or there is a dispute over a refund.
- A Buyer/Seller may submit a complaint through the My Orders menu or SonaMart's official support channel, together with supporting evidence (photos, chat history, proof of payment/shipping).
- SonaMart will contact both parties to facilitate communication and seek an amicable, good-faith resolution.
- SonaMart's role in mediation is facilitative, not a legally binding decision. SonaMart does not guarantee any particular outcome of the mediation process and does not act as a guarantor of either the Seller's or the Buyer's financial obligations.
- If mediation does not result in an agreement, the aggrieved party may still pursue other dispute resolution avenues in accordance with applicable laws and regulations (see Section 22).
12 Prohibited Use
Users are prohibited from using SonaMart to, including but not limited to:
- trade in illegal goods or goods that violate Applicable Laws and Regulations;
- unreasonably manipulate reviews, ratings, or transaction counts;
- commit fraud or any other act that harms other users or SonaMart;
- upload content that infringes another party's intellectual property rights;
- attempt to access any part of SonaMart's systems the User has no right to access, including reverse engineering or intercepting other users' data; and/or
- take any action that could disrupt or damage SonaMart's systems.
SonaMart reserves the right to pursue civil claims and/or criminal proceedings for any violation referred to in this Section.
13 Data Protection
SonaMart will always safeguard your personal data with reference to the SonaMart Privacy Policy and Applicable Laws and Regulations, including provisions on data security, cross-border data transfer, and breach notification as further set out in that Privacy Policy, which forms an integral part of these Terms and Conditions.
14 Compliance with Applicable Laws and Regulations
SonaMart continually strives to comply with Applicable Laws and Regulations, and may from time to time request additional data from Users where deemed necessary for such compliance, including for the purpose of verifying a Seller's identity before disbursing funds.
Funds used to transact on SonaMart, whether by a Buyer or a Seller, must originate from lawful sources and must not be connected to any criminal act, including but not limited to money laundering and terrorism financing. SonaMart is committed to prohibiting and not engaging in any form of bribery or corruption.
15 User Representations and Warranties
The User hereby represents and warrants that:
- the User is a legally competent party, not acting under duress or threat, and has the power and authority to be bound by these Terms and Conditions;
- all data submitted by the User is true, complete, accurate, and not misleading, and does not violate the rights of any party;
- the User is fully responsible for the truthfulness and completeness of the data provided, and shall bear civil and/or criminal liability if any representation is inconsistent with the actual facts; and
- specifically as a Seller, you warrant that the Products you market are lawfully owned by you or that you have the right to sell them, and that they do not infringe any intellectual property right or other third-party right.
16 Restriction of Access, Suspension, and Account Closure
SonaMart may restrict access to and/or suspend a User's Account, temporarily or permanently, without prior notice, where there is: (a) a suspected violation of these Terms and Conditions; (b) a suspected violation of Applicable Laws and Regulations; or (c) any other reason that could potentially harm SonaMart or other users.
SonaMart will endeavour to provide notice of such action and the reasons for it as soon as possible after the action is taken, to the extent permitted by Applicable Laws and Regulations.
In the event an Account is closed, the User remains obligated to settle any obligations that arose before closure, including a Buyer's outstanding payment obligations or a Seller's Orders still in progress. Account closure may be carried out without first requiring a court ruling or determination, and for this purpose the User and SonaMart agree to waive Article 1266 of the Indonesian Civil Code to the extent it imposes such a requirement.
17 Intellectual Property Rights
All elements of the SonaMart Platform (logo, interface design, and software) are owned by PT Wibi Digital Technology. SonaMart grants you a limited, non-exclusive, non-transferable licence to access and use the Platform solely for the purpose of performing these Terms and Conditions.
Product content (photos, descriptions) uploaded by a Seller remains the responsibility and property of that Seller, but the Seller grants SonaMart a licence to display that content on the Platform.
18 Limitation of Liability and Indemnification
To the extent permitted by Applicable Laws and Regulations, SonaMart is not liable for any direct or indirect loss arising from, including but not limited to:
- the quality, authenticity, or conformity of a Product sold by a Seller;
- delay, damage, or loss of goods during shipping by a courier service;
- negligence, default, or any act by a Seller or Buyer in a sale and purchase transaction; and/or
- service disruption caused by a SonaMart Partner (payment gateway provider, courier service, AI model provider, or cloud infrastructure provider).
SonaMart's liability is limited to the provision and smooth functioning of the Platform itself.
19 Force Majeure
SonaMart is released from claims and obligations where a delay or failure to fulfil an obligation is caused by a Force Majeure event, being an event beyond SonaMart's reasonable control. This includes, but is not limited to, the following categories:
- natural events, such as earthquakes, floods, or disease outbreaks;
- social and political unrest, such as war, mass rioting, or acts of terrorism;
- government policies or actions beyond SonaMart's control;
- failure of basic infrastructure such as power, internet, or telecommunications networks, including as a result of large-scale cyberattacks; and/or
- a sudden cessation, disruption, or policy change by a SonaMart Partner, including a payment gateway provider, courier service, or AI technology provider.
In the event of a Force Majeure, SonaMart will endeavour to notify Users as soon as possible and take reasonable steps to restore the service to the fullest extent possible.
20 Fraud Risk Warning
Users understand that bad actors may attempt to commit fraud by impersonating SonaMart, a Seller, or a courier. To protect yourself:
- only make payments through the official methods available on the SonaMart checkout page, and avoid transferring funds directly to a personal account outside the Platform's system;
- never share your password or OTP code with anyone, including anyone claiming to be SonaMart or Seller staff;
- verify a shop's and Product's authenticity through the ratings, reviews, and transaction history available on the Platform; and
- promptly report to Us if you suspect fraud or lose access to your Account.
21 Changes to These Terms
SonaMart may amend these Terms and Conditions from time to time to reflect developments in the service or applicable legal requirements. For material changes, We will provide notice through the Platform no later than 30 (thirty) calendar days before such changes take effect. Your continued use of the service after a change takes effect will be deemed as your acceptance of the updated Terms.
22 Dispute Resolution and Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Republic of Indonesia. Any dispute not resolved through mediation as referred to in Section 11 will first be settled amicably through deliberation.
If an amicable settlement cannot be reached, the dispute may be resolved through the applicable consumer dispute resolution mechanism under Applicable Laws and Regulations, or through the District Court (Pengadilan Negeri) having jurisdiction over the legal domicile of PT Wibi Digital Technology.
